TERMS AND CONDITIONS

These Terms & Conditions apply to all quotations, orders, agreements, and invoices from Ding Studio BV. By engaging our services, the client acknowledges and accepts these Terms & Conditions.
Any deviation from these Terms & Conditions must be agreed upon in writing by both parties. All agreements and relationships with Ding Studio BV are subject to the laws of Belgium. Any disputes shall be submitted to the competent courts in Ghent or Brussels, Belgium, after an attempt at good-faith mediation.
QUOTATIONS & CONTRACTUAL AGREEMENTS
Quotations remain valid for six (6) weeks. Prices are final only when the client signs the quotation. After the six-week validity period, prices may be adjusted.
All work requires a formal contract, agreement, or written acknowledgment of the Terms & Conditions.
For smaller assignments without a contract, the client agrees that proceeding with the project constitutes acceptance of these Terms.
Ongoing projects & long-term work: If a project extends beyond 12 months, a contract renewal or revised agreement may be required.
PROJECT EXECUTION & DEADLINES
Work will be executed within a reasonable timeframe, mutually agreed upon.
Project start date begins only after:
A 40% deposit is received.
The client provides all necessary materials & information.
Client Delays: Any delay in providing feedback or requested assets may result in project delays.
CLIENT FEEDBACK & REVISIONS
Feedback must be provided within three (3) business days. If feedback is not provided within this timeframe, the project will be put on hold, and rescheduling may incur additional fees based on Ding Studio BV’s availability. If no response is received, the project will be put on hold, and a new timeline will be set based on Ding Studio BV’s availability.
Minor revisions (e.g., color, font, or small element changes) are included.
Major changes (e.g., full design shifts) require an additional fee and a formal change request.
The client must approve all final work before production or publication. Once approved, Ding Studio BV is not responsible for any further modifications, production errors, or third-party processes.
INTELLECTUAL PROPERTY & COPYRIGHT
All designs remain the property of Ding Studio BV.
Clients are granted a non-exclusive license to use the final deliverables for their intended purpose.
Source files remain the property of Ding Studio BV unless otherwise agreed in writing.
Designs will be stored for one (1) year after project completion. Longer storage requires a written request and may incur additional fees.
The client guarantees that any materials they provide (logos, images, text, etc.) do not infringe copyright laws. Ding Studio BV is not liable for third-party claims regarding copyright infringement.
Ding Studio BV is not responsible for any modifications made to the final deliverables by the client or third parties that result in errors, disputes, or legal claims
SECURITY & PLATFORM RESPONSIBILITY
For Social Media: Ding Studio BV is not responsible for security breaches, hacking incidents, or loss of access to the Client’s Instagram account due to external security breaches or platform errors.
The Client is solely responsible for securing their social media accounts and is strongly advised to implement two-factor authentication (2FA) for additional security.
Ding Studio BV takes reasonable measures to protect digital assets, but we are not responsible for data breaches, hacking, or cyber incidents beyond our direct control.
Ding Studio BV is not liable for system incompatibilities, software malfunctions, or unintended data loss due to technical errors. Clients are responsible for backing up all digital files upon delivery.
CONFIDENTIALITY & DATA PROTECTION
Ding Studio BV respects client confidentiality and will not disclose proprietary information without consent.
Ding Studio BV complies with GDPR regulations and will process client data only as necessary. The client is responsible for ensuring that their Cookies & Privacy Policies comply with regulations.
Unless strict confidentiality is requested, Ding Studio BV reserves the right to display completed work on its website and social media.
LIABILITY & INDEMNIFICATION
Ding Studio BV is not liable for indirect, incidental, or consequential damages, including loss of profits or business interruptions.
The client agrees to indemnify and hold harmless Ding Studio BV from any third-party claims related to the use or misrepresentation of delivered work.
Any errors caused by third-party production, printing, or implementation are not the responsibility of Ding Studio BV.
PAYMENT TERMS
All invoices must be paid within 30 calendar days.
Late payments are subject to a 10% penalty fee (with a minimum of €25).
Failure to pay may result in project suspension.
For projects under €500, payment is typically required after project completion.
TERMINATION & CANCELLATION
Either party may terminate the agreement in writing if the project is deemed unsatisfactory.
If a client cancels after work has started, they must compensate for the work completed up to the cancellation date.
If a client cancels after project completion, full payment is required. Any files created before cancellation will only be delivered once payment has been received in full.
DISPUTE RESOLUTION
In the event of a dispute, both parties agree to first attempt mediation before taking legal action.
If unresolved, disputes shall be handled under Belgian law in the courts of Ghent or Brussels.
PRINTED MATERIALS & DELIVERY
Clients must approve all print-ready files in writing or via email.
Ding Studio BV is not responsible for import fees, taxes, or shipping delays.
Claims for damage in transit must be reported within 24 hours upon receipt.

These Terms & Conditions are subject to updates. Clients will be notified of changes, and continued use of our services implies acceptance of the latest version.
